Eligibility and Legal Framework

In Pakistan, a foreign national can serve as a director of a Private Limited Company under the Companies Act, 2017, regulated by the Securities and Exchange Commission of Pakistan (SECP). There is no legal restriction on foreign shareholding or directorship, provided the director holds a valid passport and complies with identity verification requirements. Registration Process with SECP

To register a Pvt Limited company with a foreign director, the SECP requires: a company name reservation via the eServices portal, submission of Form 1 (incorporation), Form 21 (registered office), Form 29 (particulars of directors), and Memorandum and Articles of Association. The foreign director must provide attested copies of their passport and recent photograph. Once processed, the SECP issues a certificate of incorporation, allowing the company to operate legally across Pakistan, including opening bank accounts and applying for NTN.
